Indonesia has two main types of companies that are open to foreign Investment.
- Wholly Foreign Owned PMA
- Local Limited Company PT
It is essential that you fully understand the differences between these two type of companies and your legal standing in the country.
With a PMA company, Foreign Investors can hold 100% ownership, however, at least one Indonesian national is required at Director level.
With a PT company the maximum ownership is 49% with at least Indonesian National owning the balance and holding senior board level position.

Frequently Asked Questions
How many days will it take to process a company registration
The entire process can be expected to take between 60-90 days, possibly more.
This also depends on which type of company you wish to register and the level of document filings you require us to make (tax Number, Banking, domicile etc.)
Your personal manager will discuss this with you clearly before any processing begins.
What are the steps involved in Registration processing?
- Complete detailed discussions with Gateway team.
- Organise the as many documents as possible and include them in the form here. You will receive an email with confirmation of receipt and make appointment for further discussions.
- We will compile a complete set of documents to be processed and confirm them with you.
- Once we have all the details complete and approved by you we will then be ready to submit the application.
- Prior to your agreement and approval and invoice will be issued for 50% of the total cost as discussed during the pre-application phase.
- Once payment has been received, the application will be submitted by our team.
- Applications will only be accepted after the verification of all required documents and receipt of complete payment.
Is the initial fee refundable if the applicaiton has been rejected?
Unfortunately the answer is no. All fees are paid to the government issuing body at the time of submission of the application. If the application is rejected it is beyond our control and the immigration office does not provide. refunds.
In our experience rejection is rare as our team works hard to work with the local authorities to secure the application. However, it is also the normal case that the actual government fees required in advance to the government are more than the 50% charged in the initial invoice. In this case we will discuss the issue with you.
How long does the registration last before renewal?
Generally there is no time limit on the registration. However, the various government bodies and in particular the tax office monitor the company. If it fails to generate an income or income falls below the annual taxable income, the companies will be deemed non-compliant by the government and closures procedures will start.
Annual tax returns are required.
What services does Gateway assistance cover?
Gateway will provide all the necessary local side filing, and application submissions. We will also fill in all the necessary forms and advise on what documentation your will be required to provide. We provide a full service one stop service. You may need to have documents legalised or have an apostille which we also provide in house at additional cost. Nothing is left for the client to clear up after the process is complete unless they decide on filing certain documents themselves.
Are there any hidden costs?
Absolutely not.
At every stage of the application and filing process the full costs are discussed, agreed and approved by you the client. There are additional costs included in the finally agreed costs depending on which additional services are required.
If additional costs are incurred after the agreement has been made with the client. Gateway absorbs those costs.

Nothing will happen until we have had detailed discussions with you and that we are all fully aware of exactly what is required and application approval is given by the client.
Part of your consultation will focus on your legal standing, legal obligations and the business operation type that your company will be registered as carrying out.
This is also crucial. The business license you will be issued with will cover only the areas of business that are included in the articles of association and the company charter. This will be restricted to the types of business that the government will and does approve on registration. You may not work outside these areas without prior approval from the government offices.
You must familiarise yourself with basic Indonesian company law and work within these laws. .
